James Corden Lloyd of Topball to have exclusivity on arranging an international strategic alliance with a well known tennis academy first call is John Mcenroe Tennis Academy. second is topball to arrange Interational tennis camps, asmara to provide tennis courts accommodation and food and beverage. topball will utilise asmara tennis coaches. topball ill arrange domestic corporate camps. asmara must by any means provide two roofs to cover the courts as suggested by topball. this relationship ill evolve as in the early stages as will the commercial arrangements both parties to exercise a high level of good will in the first six months

Topball shall have exclusivity in arranging an international strategic alliance with a prominent tennis academy, commencing with a first call to the John McEnroe Tennis Academy. Both parties agree that any negotiations initiated by Topball will be considered exclusive to Topball for a specified period.

3. Responsibilities of Topball

Topball agrees to undertake the following responsibilities:

• Arrange International Tennis Camps: Topball will organize and manage international tennis camps at Asmara Resort.
• Domestic Corporate Camps: Topball will also facilitate domestic corporate tennis camps, promoting the facility and services provided by Asmara.
• Utilization of Resources: Topball will use Asmara’s tennis coaches for all camps and activities, ensuring a high standard of coaching and instruction.

4. Responsibilities of Asmara

Asmara agrees to the following:

• Provide Facilities: Asmara will provide tennis courts, accommodation, and food and beverage services for all camps and events arranged by Topball.
• Roof Covers for Courts: Asmara commits to providing two roofs to cover the tennis courts as suggested by Topball, to enhance the playing conditions and accommodate various weather scenarios.

5. Goodwill and Commercial Arrangements

Both parties acknowledge the importance of fostering a positive and cooperative relationship over the initial six months of this partnership. During this period, both Asmara and Topball agree to:

• High Level of Goodwill: Exercise a high level of goodwill to facilitate the smooth operation of the partnership, assisting each other where necessary to ensure the success of the partnership activities.
• Evolving Commercial Arrangements: Commercial arrangements will evolve based on the relationship's performance and feedback during the initial period. Both parties commit to open and constructive dialogue about any necessary adjustments.
